What You'll Do7
- 1Review and annotate a broad range of contracts including MSAs, SPAs/APAs, LPAs, DPAs, side letters, and NDAs to ensure accuracy and practical insight
- 2Assess and provide structured feedback on credit agreements, banking docs, technology service agreements, leases, employment agreements, and IP licenses
- 3Apply expertise in investment funds, asset management, private equity, and M&A to refine negotiation and drafting of complex agreements
- 4Clarify and translate legal language to enhance comprehension for AI training datasets and learning frameworks
- 5Draft sample clauses and pinpoint key risk areas to support robust training materials and standard benchmarks
- 6Monitor trends in data privacy, cybersecurity, and technology transactions to inform contract analysis and AI context
- 7Collaborate with legal peers to benchmark standards and extract best practices for inclusion in training materials
Requirements7
- 1Juris Doctor or equivalent from an accredited school; LLM considered with strong relevant experience
- 28+ years in private equity, investment funds, M&A, or asset management law with exposure to sophisticated agreements
- 3Proven experience with transactional documents including MSAs, SPAs/APAs, LPAs, DPAs, side letters, and NDAs
- 4Solid understanding of contracts in investment funds, banking and finance, technology/SaaS, and data privacy sectors
- 5Excellent written and verbal communication with precise drafting and analytical capabilities
- 6Ability to translate complex concepts into clear guidance for varied audiences
- 7Interest or familiarity with data privacy, cybersecurity, and cloud services contracts
