Corporate Paralegal, M&A & Corporate Governance
Overview
This role supports a growing Corporate/M&A practice at a leading Chicago law firm with hybrid work. You will manage mergers and acquisitions transactions at scale, coordinate due diligence, and prepare governance materials for a diverse client base from startups to national companies. You will collaborate with attorneys, clients, and third parties on sophisticated transactions that require precision and proactive communication. What You'll Do10
- 1Build and manage due diligence workstreams and virtual data rooms to support closing transactions
- 2Draft corporate resolutions, formation documents, and governance materials for entities
- 3Prepare and file Form D, Blue Sky, UCC, and related filings with accuracy and timeliness
- 4Maintain corporate records and manage entity databases to ensure compliance
- 5Prepare electronic closing binders and post-closing documentation for transactional files
- 6Communicate directly with clients, attorneys, and third parties to coordinate complex closings
- 7Assist with ongoing corporate governance and compliance matters across multiple matters
- 8Support M&A and corporate practice groups with project management and document drafting
- 9Coordinate multi-party closings and ensure all deadlines are met
- 10Contribute to a collaborative team environment supporting high-profile corporate transactions
Requirements10
- 15+ years of Corporate Paralegal experience in M&A and corporate transactions
- 2Strong experience supporting entity formations governance and corporate filings
- 3Knowledge of due diligence and closing processes
- 4Excellent organizational communication and project management skills
- 5Ability to manage multiple priorities in a fast-paced environment
- 6Billable requirement of 1,300 hours annually
- 7Prefer law firm or sophisticated in-house corporate paralegal background in Chicago
- 8Stable work history with demonstrated longevity
- 9Flexibility for hybrid schedule and office presence as required
- 10Experience supporting corporate practice groups and high-profile matters
