Corporate Paralegal Remote Job | National Law Firm
Overview
You will own the full lifecycle of corporate transactions, from formation to closing, for a national law firm's sophisticated Corporate Practice. You will handle entity management, governance documents, and due diligence across a range of complex business matters. This remote role requires in-office presence for trainings and filings, and you will collaborate with attorneys and clients across the country. The firm offers a supportive, team-oriented culture and a compensation package up to $100,000, plus bonus and 401(k). You will build strong relationships while managing multiple priorities in a high-volume practice.
What You'll Do7
- 1Support attorneys in all aspects of corporate matters, including entity formations, corporate governance, mergers and acquisitions, financing, and commercial transactions.
- 2Draft and file formation, qualification, dissolution, merger, conversion, and amendment documents for corporations, LLCs, partnerships, and other business entities.
- 3Prepare and maintain corporate governance documents, including resolutions, consents, bylaws, operating agreements, stock certificates, and minute books.
- 4Coordinate transaction closings by preparing closing checklists, signature pages, closing binders, and post-closing documentation.
- 5Conduct corporate due diligence, reviewing organizational documents, contracts, UCC filings, and public records.
- 6Maintain corporate records and entity management databases, ensuring compliance with annual filings and regulatory requirements.
- 7Communicate with clients, government agencies, outside counsel, and internal teams to coordinate filings and transactions.
Requirements8
- 15+ years of corporate paralegal experience in a law firm or corporate legal department.
- 2Bachelor's degree and/or Paralegal Certificate required.
- 3Experience supporting corporate transactions, including mergers and acquisitions, entity formations, corporate governance, and financing.
- 4Strong knowledge of business entity management, corporate filings, and state filing requirements.
- 5Proficiency in Microsoft Office Suite, including Word, Excel, Outlook, and PowerPoint.
- 6Experience with entity management software is a plus.
- 7Excellent organizational, project management, and multitasking skills with the ability to manage multiple deadlines.
- 8Strong written and verbal communication skills, exceptional attention to detail, and the ability to work independently while collaborating in a team environment.
