What You'll Do10

  • 1Lead board and committee logistics for virtual, hybrid, and in person meetings and ensure timely distribution of materials via board portal technology
  • 2Record, maintain, and manage minutes, action items, and governance documentation to support accurate corporate records
  • 3Coordinate onboarding and ongoing education programs for directors and governance training
  • 4Support annual self assessment processes for board and committees and assist with director compensation documentation
  • 5Administer and optimize board portal systems and governance platforms and track regulatory deadlines and annual compliance requirements
  • 6Prepare governance materials and board books, coordinating with internal teams and external counsel as needed
  • 7Support subsidiary governance activities and ensure secure handling of sensitive governance information
  • 8Coordinate governance records management including resolutions, written consents, charters, and policies
  • 9Ensure compliance with securities regulations, stock exchange standards, and SEC reporting requirements
  • 10Maintain strong director relations through clear communications and high-quality governance documentation

Requirements10

  • 1Bachelor’s degree or equivalent experience
  • 25+ years of experience supporting corporate governance, board administration, corporate secretariat functions, or corporate legal operations
  • 3Strong understanding of corporate governance principles and board operations
  • 4Exceptional organizational skills and attention to detail
  • 5Ability to manage highly confidential and sensitive information
  • 6Excellent written communication and document management skills
  • 7Advanced proficiency with Microsoft Office and governance technology platforms
  • 8Experience supporting a public company Board of Directors
  • 9Experience with board portal systems such as Diligent, Boardvantage, or equivalent platforms
  • 10Experience working within a corporate legal department
