Own the corporate and employment legal function for a public company with scale. Advise on debt and equity financing, governance, and compliance across pre-IPO and post-IPO contexts. What You'll Do10

  • 1Lead corporate and employment law guidance across financing, governance, and compliance to support strategic objectives
  • 2Manage debt and equity financing transactions from term sheets to closing, coordinating with Finance and outside counsel
  • 3Oversee board and committee materials, charters, resolutions, and governance best practices
  • 4Develop and maintain governance, ethics, and compliance programs and trainings
  • 5Support subsidiary governance and corporate records including public-company readiness as applicable
  • 6Monitor regulatory changes and advise on business impact with proactive risk mitigation
  • 7Manage securities and disclosure practices aligned with company stage and public readiness as applicable
  • 8Support M&A, JVs, and other strategic transactions including due diligence and cross-functional coordination
  • 9Administer equity plans, stock options, and cap table integrity; coordinate investor documentation
  • 10Advise on California and multi-state employment matters including wage, hour, and leave; conduct workplace investigations

Requirements10

  • 1Juris Doctor degree from an accredited law school
  • 2Member in good standing of at least one state bar (California preferred)
  • 3Minimum of 8+ years of relevant legal experience
  • 4Experience in both leading global law firm and in-house legal department required
  • 5Public company operating experience, pre-IPO and post-IPO exposure strongly preferred
  • 6Deep experience with corporate governance, securities law, M&A, debt and equity financing transactions
  • 7Proven ability to manage complex matters end-to-end and manage outside counsel efficiently
  • 8Experience in technology or energy sectors, battery tech a plus
  • 9Excellent communication, negotiation, drafting and presentation skills
  • 10Ability to work independently and cross-functionally in a fast-paced, onsite environment in Alameda, CA
