Legal and Compliance Manager, Private Funds & Regulatory Affairs
Overview
Own and coordinate governance, investment, and regulatory compliance for private markets funds at scale within a collaborative San Francisco team. Lead fund formation, post-formation governance, and investor side-letter management while ensuring rigorous documentation and cross-functional alignment. This role blends legal operations with regulator-facing activities to maintain high standards of integrity and efficiency.
What You'll Do9
- 1Lead fund governance activities including GP documentation, fund formation, subscriptions, transfers, and side-letter terms.
- 2Oversee lifecycle legal process for investments across primary fund, co-investments, secondaries, and direct portfolio companies.
- 3Review and organize investment documentation, due-diligence materials, and fund guidelines to ensure accurate allocations and records.
- 4Drive recurring fund and regulatory compliance tasks such as registrations, AML controls, jurisdictional filings, and cross-border compliance program setup.
- 5Maintain governance artifacts and approval matrices, support investor inquiries, RFPs, DDQs, and on-site meetings with Investor Relations.
- 6Support implementation and administration of compliant policies, participate in annual compliance reviews, and improve documentation management systems.
- 7Serve as primary point of contact for external legal and compliance vendors, handling routine matters and escalations as needed.
- 8Respond to day-to-day legal requests including NDAs, service agreements, and routine contracts from investment and operations teams.
- 9Contribute to ongoing legal regulatory initiatives, research new laws, and drive process improvements across the Legal & Compliance function.
Requirements8
- 1Six+ years in a similar legal, compliance, fund-operations, or paralegal role with preference for private funds or registered investment advisers.
- 2Strong knowledge of private fund structures, governance, and related regulatory framework for investment managers.
- 3Ability to interpret fund documents, investment agreements, and governance materials.
- 4Experience negotiating and organizing commercial contracts and legal agreements; familiarity with virtual data rooms and contract management tools.
- 5Proficient in Microsoft Office, especially Excel; excellent organization and attention to detail with multi-priority management.
- 6Proactive, self-directed with a track record of process improvements and ability to work across teams with integrity and discretion.
- 7Bachelor’s degree in a relevant field; paralegal certification or active Notary Public is helpful but not required.
- 8Hybrid work arrangement based in San Francisco, four days per week in office.
