Corporate Governance Specialist, Ethics & Compliance
Overview
You will own corporate governance and ethics compliance for a global chemical leader with 5,000 employees. Coordinate Board of Directors and Committee meetings, maintain corporate records, and administer compliance programs. You will work with senior management and the Board using Diligent Boards, Navex, and SharePoint. This role combines legal precision with cross-functional collaboration, offering growth in a supportive culture.
What You'll Do10
- 1Prepare Board of Directors and Committee meeting materials, including agendas, approvals, and presentations, using Diligent Boards.
- 2Maintain corporate records such as minute books, officer and director data, and subsidiary records.
- 3Assist with corporate, regulatory, and governmental filings.
- 4Administer the CEO Approval Letter process, including intake, quality review, routing, and tracking.
- 5Develop and update templates, procedures, and governance documentation.
- 6Administer Navex and conflict of interest disclosure platforms, providing user support and analytics.
- 7Support E&C programs: conflicts of interest, third-party management, due diligence, and annual representation letters.
- 8Conduct legal research and draft recommendations on compliance and governance matters.
- 9Manage relationships with external providers: law firms, due diligence vendors, and hotline administrators.
- 10Drive timely completion of cross-functional governance work, securing cooperation from directors and senior management.
Requirements7
- 1Associate degree or paralegal certificate.
- 25+ years in a law firm or corporate law department as a legal assistant or paralegal, with 2+ years directly supporting corporate governance (board meetings, records) for a complex organization.
- 3Preferred: Bachelor's degree.
- 4Preferred: Experience at an Am Law 200 firm or Fortune 500 company handling M&A, capital markets, or restructuring projects.
- 5Proficiency in Diligent Boards, Boardvantage, hCue, DocuSign, SharePoint, PowerPoint, and Excel.
- 6Well-developed legal research skills.
- 7Exposure to oil and gas or chemical industry preferred.
