Overview
Mercor is looking for seasoned corporate attorneys to design evaluation tasks that test AI systems on complex transactions and governance workflows. In this role, you'll craft realistic legal scenarios, draft reference answers, and build scoring rubrics that capture how senior practitioners actually think. The work spans two jurisdictional tracks — US (Delaware General Corporation Law, SEC regulations, Model Business Corporation Act) and international (UK Companies Act 2006, EU directives) — with flexibility to focus on one or both. This is a unique chance to influence how AI handles high-stakes corporate legal work, all from a remote, hourly engagement.
What You'll Do5
- 1Create detailed corporate law scenarios involving large-scale M&A deals, multi-party negotiations, regulatory review, and complex governance or restructuring processes.
- 2Develop evaluation tasks across core practice areas: M&A and deal structuring, securities and capital markets, corporate governance, commercial contracts, and corporate restructuring.
- 3Integrate real-world legal tech into tasks, including research tools like Westlaw and Lexis, virtual data rooms such as Intralinks and Datasite, and contract lifecycle management or document automation systems.
- 4Apply the relevant jurisdictional framework — US or international — and produce reference legal memoranda, transaction documents, and client or regulatory-facing narratives that demonstrate expert judgment.
- 5Author grading rubrics that distinguish authentic corporate law reasoning from generic law school or bar-exam-level recall.
Requirements4
- 1At least 5 years of experience as a corporate attorney or general counsel at a major law firm, investment bank, or large public company — backgrounds at firms like Wachtell, Skadden, Cravath, Latham & Watkins, Kirkland & Ellis, or Sullivan & Cromwell are particularly valued.
- 2Direct ownership of M&A transactions, governance matters, or securities filings, with hands-on involvement in the full deal lifecycle.
- 3Strong fluency in corporate law methodologies and tooling, plus practical understanding of how regulatory approvals (SEC review, antitrust/HSR, or international equivalents) and board/shareholder oversight truly operate.
- 4A recognized professional credential is strongly preferred — a JD with bar admission or an international equivalent such as a Solicitor or Qualified Lawyer in England & Wales. Prior experience writing rubrics, legal training materials, or transaction documentation is a plus.
