Overview
Join eBay's global legal team as the strategic bridge between M&A deals and operational reality. You will lead legal architecture for financial services and regulatory aspects in M&A activity, integrating acquired technologies into our marketplace ecosystem. Serving as the primary specialized consultant for acquired businesses, you will guide them through challenges of introducing new financial services like managed payments, stored value, financing, and insurance to millions of global users. This high-visibility role demands a blend of deep legal technical knowledge and emotional intelligence, operating in the gray areas of emerging FinTech law. You will drive cross-functional teams toward common goals, making a tangible impact on eBay's global financial stack.
What You'll Do10
- 1Lead detailed regulatory risk evaluations for global acquisition targets, identifying risks in US Money Transmission, Regulation E, and AML/Sanctions regimes before they become deal-breakers.
- 2Serve as the internal authority on US state and federal laws and guide application of the Canadian Retail Payment Activities Act (RPAA) and technical integration flows.
- 3Collaborate with embedded business and product lawyers to convert dense regulatory requirements into scalable user experiences for millions of global buyers and sellers.
- 4Direct the legal roadmap for acquiring licenses and payment systems, ensuring smooth compliance throughout the integration process.
- 5Negotiate complex partnerships, drafting and negotiating high-stakes commercial agreements with global banks, card networks, and payment processors.
- 6Partner with regional legal experts to operationalize global payments and financial services legal requirements, applying law to specific technical flows.
- 7Direct the process for obtaining, updating, or transitioning money transmitter licenses and other financial permits resulting from M&A activity.
- 8Serve as the connective tissue between M&A, Compliance, Tax, Privacy, Internal Audit, and Corporate legal teams to ensure seamless integration.
- 9Develop and refine playbooks for financial services due diligence and post-close integration to keep eBay agile and deal-ready.
- 10Distill complex regulatory concepts into clear, executive-level summaries that drive decision-making for business leaders.
Requirements6
- 16+ years of legal experience in payments and financial services law, preferably in high-growth fintech, global marketplace, or top-tier law practice specializing in financial technology.
- 2J.D. degree (or foreign equivalent) and membership in at least one US state bar or Canadian provincial law society.
- 3Deep hands-on experience with US State & Federal Money Transmission Laws (MTL), Regulation E (EFTA), and Bank Secrecy Act (BSA)/AML regulations.
- 4Proven track record advising on Stored Value/Prepaid Access and Card Network Rules.
- 5Experience with embedded insurance or warranty products in e-commerce context is a significant plus.
- 6Experience with or sophisticated understanding of the Retail Payment Activities Act (RPAA) and FINTRAC requirements is highly prioritized.
