Overview
You will lead legal strategy for Barclays' Global Equities corporate derivatives and equity swaps businesses in the Americas. Your work covers structuring, documentation, and regulatory compliance for complex OTC equity derivatives, with primary focus on ISDA master agreements and Equity Derivatives transactions. You join a collaborative team of senior legal professionals in New York, advising on high-stakes deals with issuers and shareholders. This role shapes the bank's legal posture in a rapidly evolving derivatives market.
What You'll Do10
- 1Develop and implement legal strategies for compliance with applicable laws, rules, and regulations across the Markets division.
- 2Advise business units on legal matters arising from OTC equity derivatives products and services.
- 3Represent the bank in legal proceedings including litigation, arbitration, and regulatory investigations related to Markets activities.
- 4Create and review legal documents to ensure compliance with applicable laws, rules, and regulations.
- 5Maintain and update template legal documentation for the Markets division, including ISDA agreements and Equity Derivatives confirmations.
- 6Conduct legal research and analysis to stay current on changes in laws, rules, and regulations impacting Markets activities.
- 7Develop and deliver training programs to educate employees on legal and regulatory requirements.
- 8Proactively identify and communicate legal risks and provide advice on applicable laws, rules, and regulations.
- 9Ensure that laws, rules, and regulations are effectively allocated to and reflected within relevant policies, standards, and controls.
- 10Lead strategic initiatives and manage a team, fostering a performance culture aligned with Barclays Values and Leadership Expectations.
Requirements8
- 17+ years of post-J.D. experience at a law firm or in-house legal department of an investment bank, focusing on relevant transactions.
- 2Extensive experience with equity derivatives products and transaction documentation for OTC equity derivatives.
- 3Expert knowledge of U.S. securities laws and derivatives and broker-dealer regulation.
- 4Highly developed facility with complex structured transactions.
- 5Excellent critical thinking and analytical skills.
- 6Excellent written and verbal communication skills to convey legal concepts to business stakeholders and external counsel.
- 7Strong interpersonal skills to build positive colleague and client relationships.
- 8Proven ability to manage risk and controls, implement change and transformation, and demonstrate strategic thinking and business acumen.
