Direct Counsel seeks a Banking Associate Attorney to join a leading Am Law firm's nationally recognized Corporate & Finance practice. This mid-to-senior level role offers significant experience in leveraged finance and commercial lending transactions. Candidates will represent lenders, private equity sponsors, and borrowers in sophisticated domestic and cross-border financing matters. The position provides exposure to high-value transactions while collaborating with nationally recognized finance attorneys in a fast-paced environment.
What You'll Do9
- 1Represent lenders private equity sponsors and borrowers in complex financing transactions
- 2Structure draft review and negotiate credit agreements loan documents security agreements and related financing documents
- 3Advise clients on leveraged finance acquisitions and asset-based lending facilities
- 4Handle syndicated credit facilities including Term Loan A and Term Loan B transactions
- 5Represent clients in private credit note purchase agreements and sovereign debt financings
- 6Advise on Uniform Commercial Code matters and secured lending issues
- 7Manage financing transactions from initial structuring through closing
- 8Coordinate with clients opposing counsel and internal deal teams to ensure efficient execution
- 9Collaborate with attorneys across multiple offices on sophisticated domestic and cross-border financing matters
Requirements11
- 15+ years building ETL pipelines with Spark and Airflow
- 23-5 seasons in leveraged finance or commercial lending
- 3J.D. from an ABA accredited law school
- 4Active bar admission in relevant jurisdiction
- 5Strong drafting negotiation analytical and problem solving skills
- 6Excellent organizational project management abilities
- 7Outstanding communication written verbal and interpersonal
- 8Ability to manage multiple transactions simultaneously in fast-paced practice
- 9Collaborative mindset commitment to client service
- 10Competitive compensation $260000–$365000 base salary plus performance bonuses
- 11Relocation assistance available for qualified candidates
