Debt Finance Associate Direct Counsel
Overview
Direct Counsel seeks a Debt Finance Associate with 2–6 years of experience to lead complex domestic and cross-border financing transactions for private equity sponsors and corporate borrowers. This role involves negotiating and structuring secured and unsecured financing deals while delivering market-leading results in a fast-paced environment.
What You'll Do7
- 1Structure negotiate and document secured and unsecured financing transactions for borrowers and lenders
- 2Advise clients on senior secured mezzanine subordinated debt and acquisition financing transactions
- 3Draft and negotiate credit agreements security documents and intercreditor agreements
- 4Support leveraged buyouts mergers and acquisitions and other strategic transactions
- 5Assist with loan workouts restructurings and amendments to existing credit facilities
- 6Coordinate with private equity sponsors corporate borrowers lenders and opposing counsel throughout transaction lifecycles
- 7Collaborate with attorneys across M&A private equity tax restructuring and capital markets practices
Requirements6
- 12–6 years of debt finance leveraged finance banking or related transactional experience
- 2Experience representing borrowers and lenders in complex financing transactions
- 3Leveraged finance expertise particularly in mergers and acquisitions
- 4Outstanding drafting negotiation analytical and project management skills
- 5Expert knowledge of academic credentials and attention to detail
- 6California Bar admission preferred or eligibility to practice in California
Salary Insight
$235 - $390k per year
