Overview
Direct Counsel seeks a Banking Associate Attorney to join a leading Am Law firm's Corporate & Finance practice. This mid-to-senior level role involves representing lenders, private equity sponsors, and borrowers in complex domestic and cross-border financing matters. The position offers exposure to high-value transactions and collaboration with nationally recognized finance attorneys.
What You'll Do9
- 1Represent lenders, private equity sponsors, and borrowers in complex financing transactions
- 2Structure draft review negotiate credit agreements loan documents security agreements and related financing documents
- 3Advise clients on leveraged finance acquisitions and asset-based lending
- 4Handle syndicated credit facilities including Term Loan A and Term Loan B transactions
- 5Represent clients in private credit note purchases and sovereign debt financings
- 6Advise on Uniform Commercial Code matters and secured lending issues
- 7Manage transactions from initial structuring through closing
- 8Coordinate with clients opposing counsel and internal deal teams
- 9Collaborate across multiple offices on sophisticated domestic and cross-border financing matters
Requirements9
- 1J.D. from an ABA accredited law school
- 2Active bar admission in relevant jurisdiction
- 3At least 3 years experience in leveraged finance commercial lending or bank financing
- 4Significant experience with UCC matters and related documentation
- 5Proven ability to handle multiple transactions simultaneously in fast-paced environment
- 6Strong drafting negotiation analytical and problem solving skills
- 7Excellent organizational and project management abilities
- 8Outstanding written verbal and interpersonal communication skills
- 9Commitment to exceptional client service and professional development
Salary Insight
$260 - $365k per year
