Overview
You will own M&A execution for Mercor, building valuation models and driving live transactions end to end. You will craft deal terms, board materials, and integration plans, working autonomously with elite AI research labs. What You'll Do8
- 1Build three-statement valuation models, DCF, trading comps, transaction comps, accretion-dilution, cap tables, and equity waterfall scenarios.
- 2Draft and compare transaction terms including IOIs, LOIs, term sheets, bid comparisons, deal structures, and consideration economics.
- 3Produce board materials: management presentations, data packs, buyer universes, board decks, closing mechanics, and funds flow.
- 4Run diligence and integration work: inbound deal screens, diligence request lists, findings synthesis, synergy models, carve-out analysis, and 100-day plans.
- 5Work independently and asynchronously, delivering high-quality M&A exercises from mock files with minimal oversight.
- 6Drive live transactions from origination to close, coordinating with external counsel, accountants, and senior management.
- 7Model post-deal integration scenarios, including P&L and cash flow impacts, and track integration milestones.
- 8Communicate deal recommendations to executive leadership, presenting findings in a clear, data-driven format.
Requirements6
- 14+ years in in-house corporate development or M&A role at an operating company.
- 2Hands-on ownership of live transactions end to end, not support work.
- 3Preferred: investment banking or private equity background before moving in-house.
- 4Preferred: Big 4 transaction advisory or financial due diligence experience.
- 5Expertise in Excel modeling, DCF, and transaction comps.
- 6Strong grasp of M&A legal documents and closing mechanics.
