Corporate Counsel, Contracts & Commercial Agreements
Overview
You will own the full lifecycle of NDAs/MNDAs and routine-to-moderately complex commercial and government-facing agreements at Opto-Knowledge Systems Inc (OKSI), a defense-tech company in Los Angeles. You will draft, negotiate, and close contracts using OKSI's templates and playbooks, with independent judgment and a clear eye for risk. Reporting administratively to the Manager of Regulatory Compliance and Contracts and legally to the fractional General Counsel, you will collaborate with Contracts Administrator, compliance, program management, procurement, finance, HR, engineering, and BD teams. This hands-on role offers direct impact on company growth and a clear path for escalation on strategic matters.
What You'll Do7
- 1Draft, review, and negotiate customer, vendor, and supplier agreements, services and consulting agreements, teaming agreements, subcontracts, licensing agreements, SOWs, and amendments.
- 2Serve as primary legal point for NDAs/MNDAs, managing intake through signature using approved forms and fallback positions.
- 3Manage assigned legal matters from intake to resolution, including reviewing and negotiating counterparty paper and developing practical positions and fallbacks.
- 4Maintain and improve templates, fallback language, and playbooks for contracts and NDAs.
- 5Provide day-to-day legal support on routine corporate governance, employment questions, IP and data rights, data privacy, vendor disputes, internal policy, and proposal review.
- 6Identify terms outside OKSI's standard positions and escalate novel, strategic, or unusually complex matters to the fractional General Counsel with a recommended position.
- 7Review routine government contracts, subcontracts, and flowdowns, handling ordinary contract issues and flagging matters that require specialized government-contract or compliance review.
Requirements9
- 1J.D. from an ABA-accredited law school and active bar membership in good standing in at least one U.S. jurisdiction.
- 23-10 years of relevant legal experience (in-house or law firm) with meaningful hands-on commercial contracts or transactional work.
- 3Demonstrated experience drafting, redlining, and negotiating commercial agreements, including substantial work on counterparty paper.
- 4Experience negotiating substantive private-party terms such as indemnity, limitation of liability, IP and licensing, confidentiality, warranties, termination, and dispute provisions.
- 5Strong contract drafting, legal research, analytical, and issue-spotting skills.
- 6Pragmatic, business-oriented judgment with ability to explain legal risk and options in plain English.
- 7Ability to manage high volume of agreements and competing priorities with independence.
- 8Must have or be eligible to obtain and maintain a U.S. Department of Defense Secret security clearance.
- 9Must meet ITAR requirements: be a U.S. citizen, national, permanent resident, refugee, or asylee as defined.
