Overview
You will own legal strategy for AI-related contracting and strategic technology transactions at Bank of America, shaping how AI tools and GenAI platforms are deployed across the enterprise. You will draft, negotiate, and advise on AI provisions in vendor, client, and data agreements, working alongside Technology, Procurement, and Risk teams. Your work will build enterprise contracting standards, including templates and clause libraries, driving consistency and governance. This role stands out for its focus on AI governance and emerging regulatory frameworks, offering a chance to influence policy as AI adoption scales.
What You'll Do8
- 1Lead legal advisor for AI-related technology agreements and strategic transactions, including GenAI platforms, SaaS, and cloud services.
- 2Draft and negotiate AI provisions in third-party, client, data-sharing, and licensing agreements.
- 3Define and maintain enterprise AI contracting standards, including clause libraries and playbooks.
- 4Advise on AI issues: data rights, model training restrictions, IP ownership, and liability allocation.
- 5Partner with Technology, Procurement, and Compliance to evaluate and implement AI solutions.
- 6Support escalations for high-risk AI transactions, translating governance requirements into practical terms.
- 7Monitor legal and regulatory developments in AI contracting, translating them into internal guidance.
- 8Support audits and regulatory inquiries involving AI contracts and third-party arrangements.
Requirements8
- 1Active bar membership in at least one state or the District of Columbia.
- 25+ years advising on complex technology transactions or commercial agreements, ideally in regulated industries.
- 3Proven track record improving legal workflows and governance routines.
- 4Strong judgment on novel AI legal issues, with comfort in ambiguity.
- 5Excellent stakeholder management, leading discussions with senior business and legal leaders.
- 6Ability to work independently, prioritize, and manage multiple matters.
- 7Outstanding written and oral communication, simplifying complex legal concepts for non-legal audiences.
- 8J.D. or equivalent doctorate in law.
