VP Business Selection & Conflicts Disclosure | M&A Experience
Overview
You will own the disclosure process for M&A and capital markets transactions at Bank of America, reviewing and revising material relationship statements for fairness opinions and proxy statements. You will join the Business Selection & Conflicts Group (BSC), the first point of contact for new investment banking mandates, and work with global colleagues in New York, London, and Hong Kong. You will lead conflict clearance efforts, liaise with outside counsel, and coordinate with deal teams from mandate to closing. This role stands out for its exposure to high-stakes transactions and the need to deliver accurate guidance under tight deadlines.
What You'll Do8
- 1Prepare and revise drafts of disclosure statements for M&A and capital markets deals, ensuring accuracy and compliance.
- 2Liaise with outside counsel on material relationships disclosure in fairness opinions and proxy statements.
- 3Coordinate with M&A deal teams throughout the transaction lifecycle to integrate disclosure requirements.
- 4Lead BSC's conflict clearance process, interacting with investment bankers globally and internal support partners.
- 5Manage junior team resources, reviewing their work and providing guidance on complex issues.
- 6Analyze complex transaction structures to identify potential conflicts and material relationships.
- 7Deliver timely and accurate guidance to investment bankers on new mandates and ongoing transactions.
- 8Maintain a central hub of information on current and historic transaction involvement for the group.
Requirements9
- 13-6 years of transactional legal experience in M&A or capital markets.
- 2Excellent verbal and written communication skills for global stakeholder interaction.
- 3Attention to detail and high standard for quality work product.
- 4Commitment to provide timely and accurate guidance to investment bankers.
- 5Resourcefulness and creative problem-solving to anticipate potential issues.
