Overview
Technology Transactions Associate Attorney will draft, negotiate, and close complex commercial agreements for startups, venture-backed companies, and established tech firms. You will join a Am Law firm's Technology Companies Group with 2-4 years of experience in IP transactions. Collaborate with corporate, IP, and VC attorneys on M&A, financings, and public offerings. This role offers direct client contact and a clear path to partnership.
What You'll Do7
- 1Draft, review, and negotiate SaaS, cloud services, licensing, and development agreements for tech and life sciences clients.
- 2Advise venture-backed and emerging companies on IP strategy, commercial transactions, and product development.
- 3Support M&A, venture capital financings, and public offerings by handling IP and technology due diligence.
- 4Counsel clients on AI, fintech, cybersecurity, and AR/VR legal issues in emerging technology areas.
- 5Collaborate with corporate and IP attorneys to structure partnerships and strategic alliances.
- 6Conduct legal research on biotech, digital health, and renewable energy transactions.
- 7Manage multiple complex matters from inception to close, coordinating with foreign counsel and internal teams.
Requirements7
- 1J.D. from an accredited law school and active bar in the jurisdiction of practice.
- 22-4 years of transactional experience in technology transactions and IP.
- 3Proven track record drafting and negotiating commercial agreements.
- 4Strong interest in M&A, venture capital, and emerging growth companies.
- 5Excellent analytical, drafting, and negotiation skills.
- 6Superior written and verbal communication abilities.
- 7Ability to work in a collaborative, fast-paced environment.
