This position offers a competitive base salary range of $310000 to $390000 plus discretionary bonus opportunities.

What You'll Do6

  • 1Advise public and private companies on executive compensation and equity incentive matters
  • 2Support mergers and acquisitions financings IPOs and other strategic corporate transactions
  • 3Draft review and negotiate executive employment agreements equity award agreements and incentive compensation arrangements
  • 4Advise on public company reporting and disclosure obligations relating to executive compensation
  • 5Analyze and advise on compensation issues arising under applicable tax and securities laws
  • 6Collaborate closely with corporate M&A capital markets tax and employment attorneys on complex transactions

Requirements7

  • 14–6 years of executive compensation experience
  • 2Strong background advising on executive compensation equity compensation and employee incentive arrangements
  • 3Experience supporting mergers and acquisitions and capital markets transactions
  • 4Working knowledge of Internal Revenue Code Sections 409A 280G 83 and 421–424 securities laws governing employee incentive and equity compensation plans
  • 5Superior academic credentials
  • 6Excellent oral written analytical and interpersonal skills
  • 7Admission in the applicable jurisdiction required
